Terms of Service

PLEASE READ THIS AGREEMENT BEFORE USING BORG SUITE KINDLY NOTE THAT USING THIS SOFTWARES/ CONTENT INDICATES YOUR ACCEPTANCE OF THIS AGREEMENT AND TERMS OF USE AT THE END OF THIS AGREEMENT. This End User License Agreement ("EULA" or the "Agreement") is an agreement between BORG SUITE as the licensor of the Software (hereinafter defined) and YOU ("Licensee", the "End User"). The Software includes all of the software and content, including updates or modified software provided to you by BORG SUITE, whether stored on media or downloaded to any device via any method. If you do not agree to the terms of this EULA, BORG SUITE 's Privacy Policy or any other related policy/ document, as changed from time to time, BORG SUITE is unwilling to license the Software to you and you must return the Software.

1. Application

1.1. Definition Clause

"End User" means the User or the Licensee along with their affiliates / partners. "Software" means the application and content of digital curriculum material including animations, graphics, video, audio etc which have been created, sourced and developed/ invented by BORG SUITE with considerable time and expense. "Device" means the hardware on which the Software is to be used by You.

1.2. Software / Licensed Product

a ) The Software is owned by BORG SUITE and its structure, organization and code are valuable trade secrets of BORG SUITE. Except as expressly set forth in this agreement, this EULA does not grant you any intellectual property rights in the Software, and you cannot use the Software except as specified herein.

b ) The Software is licensed, not sold. BORG SUITE grants you a limited license to use the Software only on one (1)/more PC/s/Laptop/s/Mobile/s Devices. The Software may create data files automatically for use with the Software, and you agree that any such data files are deemed to be a part of the Software.

c ) The Software is licensed as a single product, and you may not separate its component parts for use on more than one (1) PC/Laptop Device and one (1) mobile device unless expressly authorized by BORG SUITE

1.3. Ownership and Proprietary Rights

All Intellectual Property including patents, copyrights, trademarks, trade secrets and other ownership rights in the Software any corrections, bug fixes, enhancements, updates or other modifications, including custom modifications thereto are and shall remain with BORG SUITE. The source code of the Software and all information regarding the design, structure or internal operation of the Software are valuable trade secrets of BORG SUITE ("Confidential Information"), provided however, that "Confidential Information" shall not include information which otherwise would be Confidential Information to the extent that such information was publicly known prior to the time BORG SUITE received it, or became known BORG SUITE through no violation of any other, confidentiality obligations to any other party regarding the Software.

1.4.Excluded Software and Open Source components

a ) Notwithstanding the foregoing limited license grant, you acknowledge that the Software subject to other terms and conditions governing the use of such Software other than this agreement.

b ) Certain Excluded Software may be covered by open source Software licenses, which means any Software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including but not limited to any license that, as a condition of distribution of the Software licensed under such license, requires that the distributor make the Software available in source code format.

c ) Terms and conditions applicable to Open Source Components are provided to you together with this agreement and/or stored in your Device in locations.

d ) To the extent required by the licenses covering Open Source Components, the terms of such licenses will apply in lieu of the terms of this agreement.

e ) To the extent the terms of the licenses applicable to Open Source Components prohibit any of the restrictions in this agreement with respect to such Open Source Components, such restrictions will not apply to such Open Source Component.

f ) To the extent the terms of the licenses applicable to Open Source Components require BORG SUITE to make an offer to provide source code in connection with the Software, such offer is hereby made.

1.5. Mandatory Product Activation

a ) The license rights granted under this Agreement is limited to the first One year, i.e., 365 days after the license has been activated using the specified process.

b ) There are technological measures in this Software that are designed to prevent unlicensed or illegal use of the Software.

c ) You agree that BORG SUITE may use those measures and you agree to follow any requirements regarding such technological measures.

1.6. Upgrades and Maintenance Services

BORG SUITE may provide upgrades as and when required.    

1.7. License Restrictions

a ) You may not make or distribute copies of the Software, or electronically transfer the Software from one Device to another or over a network.

b ) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble the Device, or otherwise reduce the Software to a human-perceivable form.

c ) Unless otherwise provided herein, you may not rent, lease, or sublicense the Software.

d ) You may not modify the Software or create derivative works based upon the Software.

e ) You may only use the Not for Resale Version of the Software to review and evaluate the Software.

f ) As required by law, you shall not, host, display, upload, modify, publish, transmit, update or share any information that:

  • belongs to another person and to which such User does not have any right to
  • is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever
  • harm minors in any way
  • infringes any patent, trademark, copyright or other proprietary rights
  • violates any law for the time being in force
  • deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature
  • impersonates another person
  • contains Software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation

g ) BORG SUITE shall not directly or indirectly; and shall ensure that you do not:

  • access (or attempt to access) any service by any means other than as permitted in this Agreement and by the law
  • circumvent, disable or otherwise interfere with security related features or features that prevent or restrict use or copying of any Content or third party content or enforce limitations on use or the Content and third party content therein
  • Access the Software or Device to upload the Content to cause a breach of security or any Networks or interfere with the proper working of the Software and the services
  • Delete the copyright and other proprietary rights notices  

1.8. Usage, Auditing, Piracy and Our Privacy Policy BORG SUITE from time to time will collect any of your data on the Device on which the Software is installed. Your use of the Software is subject to BORG SUITE's Privacy Policy. BORG SUITE may audit Your Software usage for anti-piracy purposes, to verify a valid registration, and identify if new Updates are available for your Software prior to sending you a notice to install a new Software Update, and to assess Your use of the Software. You consent to the Software sending usage data (e.g., the number of instances the Software is launched, the Device IP address, and/or the version of the Software), for registration, authentication, other data analytics, use and anti-piracy auditing and enforcement purposes.

1.9. Consent to Use Data

a ) You agree that BORG SUITE and its affiliates, partners and agents may read, collect, transfer, process and store certain information from the Software. Information shall mean and include, but is not limited to:

  • identifiers relating to your Device and its components;
  • performance of the Device;
  • performance of the Software;
  • configurations of your Device, the Software and the Software applications;
  • use and frequency of use of the functions of the Device, the Software, and the Software applications; and
  • location data.

b ) BORG SUITE and its affiliates may use and disclose Information subject to applicable laws in order to improve its products and services or to provide the same to you.

c ) BORG SUITE and its affiliates will not intentionally use Information to personally identify the owner or the user.

1.10. Commercial Release or Beta Software If the Software you have received with this EULA is a pre-commercial release or a beta version, then you understand the Software is pre-release, non-commercial version and does not represent a final product of BORG SUITE. The Software may contain bugs, errors and other problems that could cause computer system failures and data loss. THEREFORE, ALL PRE-RELEASE OR BETA SOFTWARE IS PROVIDED ON AN 'AS-IS' BASIS AND BORG SUITE DISCLAIMS ANY AND ALL WARRANTIES OR LIABILITY TO YOU OF ANY KIND.

1.11. Limited Liability

a ) THE LIABILITY OF BORG SUITE AND ITS AFFILIATES OR LICENSORS TO THE END USER OR ANY THIRD PARTY ARISING FROM THE END USER OR USE OF THE SOFTWARE, OR THE PROVISION OF SUPPORT SERVICES, INSTALLATION, TRAINING OR OTHER SERVICES IN CONNECTION THEREWITH, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, INCLUDING CONTRACT, STRICT LIABILITY, NEGLIGENCE OR OTHER TORT, SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE.

b ) IN NO EVENT WILL BORG SUITE AND ITS AFFILIATES OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, INCONSEQUENTIAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR DATA USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

1.12. Intellectual Property Rights

a ) You are not permitted to directly or indirectly alter, reverse engineer, modify, or create any derivative works of the Software including the content provided therein, the operating system, hardware, device and the platform, or any other BORG SUITE Intellectual Property.

b ) You shall not, directly or indirectly, attempt to discover or expose the source code underlying any BORG SUITE Intellectual Property.

c ) You agree that, as between you and BORG SUITE, all the intellectual property rights in the BORG SUITE Intellectual Property are owned solely and exclusively by BORG SUITE.

d ) You shall not directly or indirectly:

  • hack, deface or otherwise misuse the Software or attempt to gain unauthorized access to other parts of the Website or the technology;
  • modify or copy any BORG SUITE Intellectual Property;
  • attempt to decompile or reverse engineer any related Software;
  • remove any copyright or other proprietary notations or any legal notices;
  • attempt to access the source code of the Software;
  • copy, archive, store, reproduce, rearrange, modify, adapt, download, upload, create derivate works from, display, perform, publish, distribute, redistribute or disseminate any BORG SUITE Intellectual Property;
  • build a product using similar ideas, features, functions, interface or graphics;
  • attempt to gain unauthorized access to BORG SUITE's computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Software;
  • develop, invoke, or utilize any code to disrupt, diminish the quality of, interfere with the performance of, or impair the functionality of the Software; and/ or
  • authorize or encourage or permit any third party to use the Software to facilitate any of the foregoing prohibited conduct.

e ) BORG SUITE trademarks, logos, images, service marks, trade names (collectively the "Trademarks") and other distinctive branding features displayed on or through the Software are registered and unregistered Trademarks of BORG SUITE and shall not be used in connection with products and/or services that are not related to, associated with, or sponsored by their rights holders that are likely to cause customer confusion, or in any manner that disparages or discredits their rights holders. All Trademarks not owned by BORG SUITE are the property of their respective owners. Your misuse of the Trademarks displayed is strictly prohibited.

f ) As between the end user and BORG SUITE, BORG SUITE owns, solely and exclusively, all rights, title and interest in and to the Software, all the content, code, data and materials thereon, the look and feel, design and organization of the Software, and the compilation of the content, code, data and materials on the Software, including but not limited to any copyrights, trademark rights, patent rights, database rights, moral rights and other intellectual property and proprietary rights therein, excluding third party content. Your use of the Software does not grant to you ownership of any content, code, data or materials you may access on or through the Software.

g ) Any commercial or promotional distribution, publishing or exploitation of the Software, or any content, code, data or materials on the Software, is strictly prohibited unless you have received the express prior written permission from authorized personnel of BORG SUITE or the otherwise applicable rights holder. Any rights not expressly granted herein, are reserved to BORG SUITE. You agree to abide by all copyright notices, information, or restrictions by BORG SUITE. You must not alter, delete, or conceal any copyright, trademark, patent, or other notices by BORG SUITE.

1.13. Restrictions on Export and Distribution of Software

a ) The Software source code is owned by BORG SUITE and you have been granted a License to use the Software as per the terms of this agreement.

b ) You acknowledge that you shall not distribute the Software to Third Parties.

c ) You acknowledge that any export of proprietary Software or content by you or otherwise using any means is strictly prohibited and punishable under Law.

d ) You further acknowledge that the Software acquired from BORG SUITE or its Third Party Licensors is not intended for use by a foreign End User and such an act is strictly prohibited and shall accrue liability under Law.

1.14. Indemnification

a ) The End User agrees to indemnify, defend and hold BORG SUITE harmless from any claim including a claim of patent, trade secret or copyright infringement asserted against BORG SUITE by virtue of End User's use of the Software.

b ) BORG SUITE shall have no liability for any claim of infringement that results from: (a) any modification of the Software by the End User; (b) any failure by the End User to implement Upgrades to the Software as supplied by BORG SUITE; or (c) the combination, operation, or use of the Software with non-compatible programs, data or documentation, if such infringement would have been avoided by the use of the Software provided by BORG SUITE without such combination, operation or use. The c c ) End User shall indemnify and keep BORG SUITE and its Affiliates and licensors indemnified from any claims arising due to breach of obligations under this agreement without any pecuniary limits.

d ) BORG SUITE warrants that the Software and related services shall conform to the written specifications.  

1.15. Representations and Warranties

a ) BORG SUITE represents and warrants that it is fully able and competent to enter into the terms, conditions, obligations, representations and warranties set forth in this Agreement.

b ) The End User represents and warrants that it is fully able and competent to enter into the terms, conditions, obligations, representations and warranties set forth in this Agreement.

c ) All other representations and warranties, whether express or implied, are explicitly disclaimed by both Parties hereto.

1.16. Warranty

a ) FOR ANY BREACH OF WARRANTIES, THE END USER'S SOLE AND EXCLUSIVE REMEDY AND BORG SUITE'S ENTIRE LIABILITY SHALL BE: (A) REPERFORMANCE OF THE DEFICIENT SERVICES; OR, IF BORG SUITE CANNOT SUBSTANTIALLY CORRECT SUCH BREACH IN A COMMERCIALLY REASONABLE MANNER, THE END USER MAY END THE RELEVANT SERVICES.

b ) TO THE EXTENT NOT PROHIBITED BY LAW, THESE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE, IN CONNECTION WITH THIS AGREEMENT AND ANY SERVICES PROVIDED HEREUNDER.

c ) BORG SUITE shall have no warranty obligations hereunder in case of defects which stem from the fact that the Software (i) were used contrary to the provisions of Agreement or any documentation (ii) presented an error attributable to the use of the services in an application or environment for which it was not designed or contemplated or which was not expressly specified by BORG SUITE; (iii) were used in combination with other products, accessories, Software or data not supplied or approved by BORG SUITE; or (iv) were modified by the End User or third parties. 

d ) BORG SUITE assumes no responsibility and shall have no warranty obligation hereunder in case of defects / typographical errors / other errors with reference to the content.

1.17. Exclusion of Warranty

a ) THE SOFTWARE AND ACCOMPANYING DOCUMENTATION ARE FURNISHED TO YOU 'AS IS' AND 'AS AVAILABLE' AND WITHOUT WARRANTIES, DUTIES OR CONDITIONS, STATUTORY OR OTHERWISE, OF ANY KIND.

b ) BORG SUITE, ITS AFFILIATES, AND THIRD PARTY LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES AND CONDITIONS, EXPRESS (EXCEPT TO THE EXTENT EXPRESSLY PROVIDED OTHERWISE BY THIS EULA) OR IMPLIED, STATUTORY OR OTHERWISE, OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

c ) BORG SUITE, ITS AFFILIATES, AND THIRD PARTY LICENSORS DO NOT WARRANT THAT THE SOFTWARE OR ACCOMPANYING DOCUMENTATION, WILL MEET YOUR REQUIREMENTS OR PROVIDE SPECIFIC RESULTS, OR THAT THEY WILL BE UPDATED, OR THAT THE OPERATION OF ALL OR ANY OF THEM WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

d ) FURTHERMORE, BORG SUITE, ITS AFFILIATES, AND THIRD PARTY LICENSORS DO NOT WARRANT OR MAKE ANY REPRESENTATIONS OR CONDITIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR ACCOMPANYING DOCUMENTATION IN TERMS OF THEIR ACCURACY, RELIABILITY, COMPLETENESS OR OTHERWISE.

e ) BORG SUITE, ITS AFFILIATES AND THIRD PARTY LICENSORS SHALL HAVE NO RESPONSIBILITY FOR THE SECURITY OF, TIMELINESS, DELETION, MIS-DELIVERY, OR FAILURE TO STORE ANY OF YOUR COMMUNICATIONS OR PERSONALIZED SETTINGS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY BORG SUITE, ITS AFFILIATES OR ANY THIRD PARTY SHALL CREATE A WARRANTY, DUTY OR CONDITION, OR IN ANY WAY CHANGE THIS EXCLUSION OF WARRANTY, DUTY AND CONDITION.

f ) Without limiting the generality of the foregoing, you further understand, acknowledge and agree that the Software is not designed or intended for use on any other device other than the device recommended by BORG SUITE.

e ) You expressly acknowledge and agree that any other hardware, Software, content or data could be damaged by installing or using the Software on any other device other than the Device recommended by BORG SUITE, and BORG SUITE, its affiliates and Third Party Licensors are not responsible for any such damage.

1.18. Disclaimers

a ) THE END USER ACKNOWLEDGES THAT THE SOFTWARE MAY NOT BE MAY NOT BE FREE FROM DEFECTS AND MAY NOT FULFILL / SATISFY ALL OF THE BUYERS NEEDS AND FOR WHICH BORG SUITE ASSUMES NO RESPONSIBILITY AND DISCLAIMS ALL LIABILITY.

b ) BORG SUITE IS NOT RESPONSIBLE FOR ANY TECHNICAL MALFUNCTION OR OTHER PROBLEMS OF ANY TELEPHONE NETWORK OR SERVICE, COMPUTER SYSTEMS, SERVERS OR PROVIDERS, COMPUTER OR MOBILE PHONE EQUIPMENT, SOFTWARE, FAILURE OF EMAIL OR PLAYERS ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY SITE OR COMBINATION THEREOF, INCLUDING INJURY OR DAMAGE TO A USER'S OR TO ANY OTHER PERSON'S COMPUTER, MOBILE PHONE, OR OTHER HARDWARE OR SOFTWARE, RELATED TO OR RESULTING FROM USING OR DOWNLOADING MATERIALS IN CONNECTION WITH THE WEB AND/OR IN CONNECTION WITH THE SERVICE ASSOCIATED WITH THE SOFTWARE.

c ) ANY SITE CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SOFTWARE / SERVICE OR A THIRD PARTY APPLICATION IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

d ) REFERENCE TO ANY PRODUCTS, SERVICES, PROCESSES OR OTHER INFORMATION, BY TRADE NAME, TRADEMARK, MANUFACTURER, SUPPLIER OR OTHERWISE DOES NOT CONSTITUTE OR IMPLY ENDORSEMENT, SPONSORSHIP OR RECOMMENDATION THEREOF, OR ANY AFFILIATION THEREWITH, BY FEPL.

1.19. Internet Connectivity and Third Party Services

a ) You understand, acknowledge and agree that Internet connectivity and certain content and services available through the device are provided by third parties over which BORG SUITE has no control.

b ) You understand, acknowledge and agree that access to certain device features, including but not limited to downloading applications or browsing or searching the Internet, requires an Internet connection for which you are solely responsible.

c ) BORG SUITE shall not be responsible for the quality, availability and security of any Internet connectivity, Software and services provided by a third party.

1.20. Term and Survival

a ) This agreement shall be effective for one academic year or until terminated as per the terms of this agreement.

b ) BORG SUITE may terminate this agreement immediately, with or without notice, if you fail to comply with the terms of this agreement.

c ) In addition, upon termination you will have no recourse against BORG SUITE, its affiliates or Third Party Licensors for your inability to use the Software.

d ) Any of your obligations under this agreement which by their nature are intended to survive the termination of this agreement and shall continue to apply to you even after the termination of this agreement or you cease to use the Software.

1.21. Notice

Any notice, request, instruction or other document to be given by a party under this agreement shall be delivered by hand, sent by Speed Post / Registered Post or by facsimile to the recipient's usual fax number or such other fax number which may be notified by that party in accordance with this clause. Email notices shall not be valid unless otherwise mutually agreed although in the event the End User may only be contacted through E-mail, E-mail notices shall be valid. It is understood that email communications will not be accepted as a legal notice/legal claim served on either party.

1.22. Waiver

The failure of either party to require performance by the other party of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by either party of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

1.23. Severability

If any part of this Agreement is for any reason found to be unenforceable, all other parts nevertheless remain enforceable as long as a party's rights under this agreement are not materially affected. In lieu of the unenforceable provision, the parties will substitute or add as part of this agreement a provision that will be as similar as possible in economic and business objectives as was intended by the unenforceable provision.

1.24. Amendments

BORG SUITE may add to, change, or remove any part, term, or condition of this EULA, including but not limited to as it applies to the Software, at any time. Any such additions, changes, or removals may be posted on the BORG SUITE website including affiliated / related websites, sent by email notification to the email address provided by you, or presented to you as part of a process in which you obtain updates or upgrades to the Software, or by any other legally recognizable form of notice, and shall apply as soon as they are posted. By continuing to use the Software after so posted, you are indicating your acceptance thereto.

1.25. Disputes and Governing Law

a ) BORG SUITE shall not be held responsible for disputes arising out of interactions between members / users. BORG SUITE reserves the right, but has no obligation, to become involved in any way with these disputes.

b ) The terms shall be governed by the laws of India without regard to its conflict of law principles.

c ) The user agrees to submit to the personal and exclusive jurisdiction of the courts of New Delhi, India for the purpose of litigating all such claims or disputes.

1.26. Entire Agreement '

This agreement supersedes all prior representations, communications, understandings, or agreements between the parties relating to such subject matter.

1.27. Controlling Agreement/Translation

This License Agreement is prepared and executed in the English language. The English language version shall govern the parties' relationship. Any translation of this License Agreement into any other languages shall be for convenience of reference only and shall have no legal effect, and the English language text shall in any event prevail.

There are various services being offered by us to our clients/customers/channel partners as Cloud Business Software suits & Communication. When you share personal / business information to us to enroll or opt-in our services, for example by registering to show your interest to use Cloud Business Software Suite & Communication like Cloud Enterprise Software, Custom Software, Messaging, Mass Mailing, we mention here, how we manage your information to protect your privacy.

 Information we collect:

We collect information from you by various ways in order to know your area of interest & location so that we can provide / suggest you suitable service according to your match.

   (i) We collect information by ways listed below:

Information you give us While online registration on our web portals, we provide applications & we ask to fill a form containing few fields that include your name, your location, contact details & organization which help us to provide better assistance by our respective teams.

  (ii) Information we get from your use of our services:

In case of using our Cloud Enterprise Software, Custom Software, Messaging, Mass Mailing & other online/offline platform, you upload data of mobile no. of your customers / Re-sellers/Channel Partners. Information uploaded by you, may be stored locally (Local Drive) on our computer / server & available at your end to download. Such as: Log information: we may automatically collect logs of your campaign done by using our online messaging & mailing platform for a certain period of interval. That may include name, mobile numbers, and message content.

Your Client list if you are Business Partner/Channel Partner/Re-Seller. NON CIRCUMVENTION - NON DISCLOSURE & WORKING AGREEMENT

  WHEREAS, the undersigned wish to enter this agreement to define certain parameters the future legal obligation are bound by a duty of Confidentiality with respect to their sources and contacts. This is in accordance with the International Chamber of Commerce Convention (I.C.C. 500).  

WHEREAS, the undersigned desire to enter a working business relationship to the mutual and :common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (herein after referred to as “Affiliates”).  

NOW THEREFORE, in consideration of the mutual promises, assertions and covenants herein and other good and valuable consideration, the receipt of which is acknowledged hereby, the parties hereby agree as follows:  

1.TERMS AND CONDITONS:  

The parties will not in any manner, solicit, nor accept any business in any manner from sources not their Affiliates, which source were made available through this Agreement, without the express permission of the party who made available the sources and  

The parties will maintain complete confidentiality regarding each other’s business sources and /or their affiliates and will disclose such business sources only to named parties pursuant to the express written permission of the party who made available the source, and,  

That they will not in any of the transactions the parties are desirous of entering into and do, to the best of their abilities assure the other that the transaction codes established will not be affected and, 

That they will not disclose names, addresses, email address, telephone and telefax or telex numbers to any contacts by either party to third parties and that they each recognize such contacts as the exclusive property of the respective parties and that they will not enter into any direct negotiations or transaction with such contracts revealed by the other party and,  

That they further undertake not to enter into business transactions with banks, investors, sources, of funds or other bodies, the names of which have been provided by one of the parties to this Agreement, unless written permission has been obtained from the other party(ies) to do so. For the sake of this Agreement, it does not matter whether information obtained from a natural or legal person. The parties also undertake not to make use of a third party to circumvent this agreement.  

That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should have realized from such a transaction plus any and all expenses including but not limited to all legal costs and expenses incurred to recover the lost revenue.  

This Agreement is valid for any and all transactions between the parties herein and shall be governed by the enforceable laws in India.  

The signed parties hereby accept such selected jurisdiction as the exclusive venue. The parties may by mutual agreement agree to another jurisdiction. The duration of the Agreement shall perpetuate for five (5) years from the date here of.

2. AGREEMENT TO TERMS:  

Signatures on this Agreement received by the way of facsimile, Mail and - or Email shall be deemed to be an executed contract. Agreement enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.

Borg Suite Service Level Agreement (SLA)

1. Standard terms applicable to Service Levels are outlined herein  

A. Definitions

i)  “Client” means any paid subscriber to Borg Suite service.  

ii) “Borg Suite” herein refers to the entity, Goodpick Technologies Private Limited a company registered under the companies Act, 2013 (18 of 2013) and having its Registered office at 407, Chaudhary Complex, Shakarpur, Delhi - 110092.

 iii) “Customer Support” means services by which Borg Suite will provide assistance to its Clients to resolve any issue pertaining to their services.  

iv) “Service” refers to Borg Suite services as given on website www.goodpickborg.com 

v) “Incident” means any set of events or circumstances resulting in failure to meet the defined service level.  

B. SLA – General Terms and Conditions

i) Borg Suite provides this SLA subject to the following terms. These terms would be fixed for the duration of initial subscription of service. If the subscription is renewed, the SLA which would be prevalent at that time would be applicable for the renewal period.  

ii) Borg Suite will determine the severity of any defect reported by the Client according to the priorities as defined by the Borg Suite under the section, “Definitions of Incident Reported”.  

iii) For each level of incident reported, Borg Suite has defined a set of “Response and Resolution times” which Borg Suite would try to adhere to in best of the circumstances.  

iv) If the incidents are not resolved within appropriate time as promised by the Borg Suite, the Client can escalate his / her complaint in accordance with the “Escalation Matrix” as outlined subsequently.  

v) The points not covered in here will be governed by Borg Suite’s General Terms and conditions, privacy policy, Terms of service or other policies which will prevail from time to time.  

C. SLA Exclusion  

The SLA and any Applicable Service Levels do not apply to any performance or availability issues listed below-  

i) Attributable to the acts or omissions of Client or Client’s employees, agents, contractors, or vendors, or anyone gaining access to Borg Suite’s Service by means of Client’s passwords or equipment.  

ii) That resulted from third party’s hardware or software.  

iii) Borg Suite does not control the uptime of the following third parties and any damage caused in this regard to the end Client would not attract penalties- 

    a) Telecom Service Providers, whose infrastructure is used by Borg Suite to provide services to its end Clients,

   b) Internet Service Providers (ISPs) whose data services are used by Borg Suite to provide services to the end Client.  

iv) Due to factors outside the control of Borg Suite.  

v) to any services other than the service outlined in this SLA and, shall not apply to performance issues, which is

   (i) caused by factors outside of First Party’s reasonable control (force majeure events); or

   (ii) that has resulted from any actions or acts of omission of Client.

Any Incident shall have to be registered through one of the channels -

3. Definition of Incident Reported 

Here, Term Severity  Refers to Priority of Reported Incident

Severity 1 – “Low” ∙

Errors or requests those are on business operations, e.g. Reconciliations, Logs etc.  

Severity 2 – “Medium”   ∙

Errors those are generally non-disabling or cosmetic e.g. Service is not accessible to a particular subscriber,etc.  

Severity 3 – “High” ∙

Errors that keep major functions from being performed but work around available e.g., Access to the server is slow; Time delay in response, Server accepts requests but not responding within acceptable time duration etc.  

Severity 4 – “Critical”

∙Errors that prevent useful work from being completed e.g. Server inaccessible.  

4. Response and Resolution Times  

The response times for each of the levels of incidents reported is hereby outlined below:  Here, Business Hours refers to working hours ( 9:300 AM IST -  6:30 PM IST)

  • Acknowledgement Time (Business Hours)  :  8 Hours
  • Work Around Time (Business Hours)  :  24 Hours
  •  Permanent Fix Time   :   96 Hours

 Severity 2 : 

  • Acknowledgement Time (Business Hours)  : 4 Hours
  • Work Around Time (Business Hours)  :  16 Hours
  • Permanent Fix Time   :  72 Hours

Severity 3

  • Acknowledgement Time (Business Hours)  : 3 Hours
  • Work Around Time (Business Hours)  :  8 Hours
  • Permanent Fix Time   :  48 Hours

Severity 4 : 

  • Acknowledgement Time (Business Hours)  : 2 Hours
  • Work Around Time (Business Hours)  :  4 Hours
  • Permanent Fix Time   :  24 Hours

Severity 1 - Respond within 8 business hours to acknowledge problem. Target resolution time or work around time would be 24 business hours from the time of response. ∙ 

Severity 2 - Respond within 4 business hours to acknowledge problem. Target resolution time or work around time would be 16 business hours from the time of response. ∙

Severity 3 - Respond within 3 business hours to acknowledge the problem. Target resolution or workaround time would be 8 business hours from the time of response. ∙

Severity 4 -Respond within 2 business hours to acknowledge and understand the Incident. Technical Support will work on the incident continuously until resolution. Periodic status updates will be communicated to the Client by phone / email. Target resolution or workaround time would be 4 business hours from the time of response.

5. Uptime for the service

i) Borg Suite guarantees 99% uptime for its service.

ii) The uptime can be measured through following mechanism:

  • Services will run self-test every 20 minutes in an hour making it 72 times in day. Every self-test failing will be regarding as 1 incident.
  • Borg Suite guarantees less than 20 failures in a month for 99% uptime
  • This will exclude scheduled downtime for maintenance and upgrades.
  • The scheduled downtime will not be more than 2 times in 2 weeks with duration of 2 hours per downtime.
  • Scheduled downtime will be planned during the non-working hours. The Client will be informed of the downtime in advance to their registered email id with us.

Monthly Penalties: 

  • For 0-20 incidents /Month – Zero Penalty
  • For 21-40 incidents/Month – 5% of the Monthly Rental will be refunded
  • For 41-200 incidents/Month – 10% of the Monthly Rental will be refunded
  • For 201- 600 incidents/Month – 50% of the Monthly Rental will be refunded
  • For >601 incidents/Month – 100% of the Monthly Rental will be refunded

6. Escalation

Borg Suite will internally escalate all incidents that are not resolved by the response and resolution times listed above. Client may request escalation of incidents that have not been resolved within the outlined response and resolution times by contacting support directly by phone / email.

 Is Employee code required while creating user account?

Yes, Employee code is required while creating new user account. Employee code is also used as a user id to login to user dashboard. Employee code once entered & updated then it can’t be changed because it works as a user id too. Moreover, Employee code is also mapped with Human Resource module while creating appointment or profile of an employee who is also user. Employee code is required as shown below-

Customer details can be edited at any time except company name because company name is used at various places such as for billing purpose. How can I go ahead with basic setup of my new account with BORG?

Step 1: Login To Borg Suite with Given User id & Password

  Go to Borg Website & Click on Signup. Provide there required information & get registered. You will get call from Borg Executive & would be created your free trial account based on your requirement for 15 Days. Your would be provided a user name & Password from Borg Suite to login & continue. Put Your user Id & Password as shown below:

Step 2:  Update or Manage your Business Profile 

You shall be landed to Admin Setup Page.  There are few settings required to update before going ahead in to modules like Manage Profile, Module Settings, Manage Services etc.

Now  Lets start with Manage Profile :  BORG Suite facilitaes to manage your Personal & business Information

  Well, Just After first login, Borg Suite suggests to complete Personal & Company Information before starting anything else. Personal details & company details both are combined with side menu “Manage Profile” wherein Personal details contains CXO information & Company details contains business info like contact no, Email id etc. as shown below- Login to Borg Suite------> Click on side menu “Manage Profile” -------- > update personal & company information -------- > Click on “update”  as shown below:

Step 3: Manage  Your Services  with SAC

Step 4: Manage Customers

Borg Suite facilitates to manage your customers which includes Adding New customers, Customer’s GSTIN, PAN & Area Code in order to GST compliance, Billing Address, Contact no & contact email id etc. Contact Email ID must be unique within entire BORG Suite software because in case of service industries borg allows their customers to login & open service tickets, chat & other information available in their control panel dashboard. Listed Customers details can be modified when required like contact person, Contact no, GSTIN, Area Code, PAN No etc but Company Name can never be modified.

To add New Vendor- Login to Borg Suite ----------  > Click on Side menu “Manage Vendor” in admin setup dashboard --------- > Click on “+ Sign” on top right of the page -------- > Fill required details ------- > Click on “Add Vendor”  

After adding new Vendor, you will be shown Vendor list as shown below-

How to create new user account from my admin account?

Only Master Admin or Admin has privilege to create User account & manage them. Login to Borg Suite------> Click on side menu “Manage User” --------- > Click on “Add user” -------- > Fill required information -----  > Click on “Sumbit” User creation is shown below-

 Is Employee code required while creating user account?

Yes, Employee code is required while creating new user account. Employee code is also used as a user id to login to user dashboard. Employee code once entered & updated then it can’t be changed because it works as a user id too. Moreover, Employee code is also mapped with Human Resource module while creating appointment or profile of an employee who is also user. Employee code is required as shown below-

How to Edit or delete Customer Details?

Customer details can be edited at any time except company name because company name is used at various places such as for billing purpose. For editing customer details- Login to Borg Suite ----------  > Click on Side menu “Manage Customers” in admin setup dashboard --------- > List Customers will be opened-------- >  Go to action botton on right side of the page ------- > Click on Edit icon  -------- > Next edit page will be opened---------- >Update information --------- > Click on “update customer” to apply changes

Borg Suite is equipped to generate GST enable Invoice. Login to Borg --------- > Go to Accounting & Finance module --------- > click on Side Menu “Generate Invoice” ---------- > Fill all required details -------> Select Products or service from the list ------- > Fill Quantity, Price, GST Type, GST Rate etc --------- > Click on “Generate Invoice” As shown below-

Invoice Type:   Invoice has to be defined either service or product. If Invoice is product type, Product must be managed by Inventory module before invoicing otherwise it must be service type. Product type Invoice deducts product quantity of equal number from stock / inventory.

GST Type: If you are invoicing for other states other than you are sitting in, You have to select IGST otherwise (CGST+SGST).

Due Date: If Payment is received advance, Due date would be current date otherwise select a date as due date when you are expecting payment to be received from debtor.

Add More:  Add more option on the top of “product and Service” table would be used when you are invoicing for multiple products & Services.

Invoice Note:  Invoice note refers to Invoice terms & conditions which is set earlier in module settings on the admin setup dashboard followed by accounting & finance settings. It can be modified for particular invoice before clicking on “Generate Invoice” on the same page.

Mail Content:  Mail content is a default mail body if you are directly mailing this invoice to customer’s registered email ID. This can also modify on the same page if required.

How to define sales team structure?

Borg allows you to create team structure up to 4 level which are defined based on reporting level.  Borg does not limit size of the team i.e. team size can be up to n-numbers.

To define team Structure:

How can I prepare salary of my employee?

Borg Suite Allows to prepare salary of employee by Human Resource team. salary preparation has been included all necessary particulars including, Basic salary, Leave deduction, PF, TDS, ESI, Incentive, Bonus,  Allowances etc.. 

First, select employee name whow you want to prearae salary followed by submission & Fill all deatiles application for your enterprise. Particulars which are not relevant for your company. Just fill zero (0) to order to complete salary preparation form.

At last submit the form & the same would be listed in the view salary menu under Manage salary menu as well as would be dispalyed in the accounting & Finanace section to allow accountant to credit the same amount in to employee bank account.

How can I print salary slip of employee?

Salary details are listed with both modules accounting & Human Resource. From the modules salary can be printed from salary List or Manage salary. 

Salary Slip can be printed, saved in the PDF or can be mailed directly to the registered email id of employee.

How can I clear reimbursement of my employee?

Reimbursement or employee claim facilitates employee to apply online from their login dashboard provided by their company or can also be applied by HR Personnel in case employee does not have access to their individual dashboard.

There are following points which will make you more clear --

  • Reimbursement shall be applied by employee from his/her login dashboard with deatils.
  • Applied one shall be checked & approved by human Resource team with or without discussion with employee.
  • Once approved shall be listed with account team in their dashboard.
  • Approved claim / reimbursement shall be credited to registered bank account of employee with salary or as per HR policies.

If any query, teh same can be routed to Borg Pre-sales Team or Support Team or Borg Account Manager.

 In the ablove claim form, Select claim name if avaialble or add new claim. Claim name is required to add only first time, later it will be available for selection.

Employee can track their applied claim till the receing of reibursement by monitoring status sent by HR the every change of event. Status can be -

1. New    2. Approved    3. Un-approved    4. Modify

New - Newly applied claim & has not been entertained so far

Approved -  Claim has been approved after varification of documents / receipt / proof for applied claim

Unapproved -   Claim has been rejected either employee is not entitled for as per his / her employment terms or any other reason. Reason can be known by reaching concern HR Personnel.

Modify : This status means request for employee to modify their deatils, There is some changes are required.

Attendance Management:

Real time attendance can be tracked both by employee & company’s HR.  

Salary Management:

Salary is prepared by HR based on Salary details & No Paid Leave details taken by Employee. Once Salary is prepared it is also notified by employee by SMS & would be visible to Accounts Personnel in the Payroll report of Report Section so that respective salary amount can be transferred by accounts to the employee bank account by NEFT / Cheque / Cash etc.  

Manage Assets:

Here Asset means issued assets to employee for official working like Laptop, Mobile, Vehicle etc which can be for a specific period or issued permanently. All issued asset to an employee is also visible in the Employee login control Panel.  

Manage Reimbursement:

Facilitates Employee to apply entitled claim based on their employment directly from their login control panel to HR with proper details & proof like Mobile Bill Claim, Local Conveyance, Hotel Bill for any tour etc . HR has right to check & update to employee from HR Module only regarding approval/ Modification/Alteration etc. which is also be alerted in to employee login control panel.  

Auto Communication:

How can I create user account for my team to login separately ?

Borg Suite facilitates Intitutions to create user accounts for their employee such as sales person account, Counsellor account, help Desk / Student desk account, accountant account etc...... for their login separately to access their separate dashboard.

Each user must have separate user license. Without buying license, you can not go ahead with new user creation.

Login to EduBorg ------- > click on " User Management" for creating new user account & updating their details as per requirement.

Be precautious, user id can not be changed / modified once saved. Borg recomendes to use employee id as a user id.

In the User Management, Click on "Add User" to create new user account or Click on List user to view user details & modification.

How can we set user access security or define user access privilege ?

It's very important step after adding new user to define access privilege.  User Access Privilege restrict access of user to the defined level.

Borg Suite defines 4 types of Access Security -

Level-1 :  Module Access security  - It restrict the access of module like account & receipt, Inquiry & followup etc.  If access to be allowed for an user, Select module check box or leave it blank as shown below-

 Level-2 : It's Inquiry & Follow up -  If any institute is engaged in sales & service activities,Sales Person can be  restricte access for either sales inquiries or  Service or both.

Level-3 : It's for Student Desk-  It's used to restrict access of support tickets  routed for certian department. Example- If ticket is route to the accounts, only accounts person  or helpdesk can access the ticket as shown below-

 Level-4 : It's for Accounts & Receipt :   Borg Suite allows to to restrict access for users in two category for accounts & Receipt.

User Access- User having this restriction can view only details added by this account only

Full Access- User having full access can view complete details of entire institutes related to accounts & Receipt modules.

How to issue Book to students?

Follow following steps to issue book to a student.

  • Select Book category
  • Books are listed in the select book books, There is an option to select either single book or mutlitple books at a time to a student.
  • Select student name from the List
  • Select issue book type either "Rturn Type" or Non-return Type"
  • Select Issue Date from the calendar
  • Submit the form clicking on "issue book"
